Terms of Service

1. Acceptance

By accessing or using Stratoscope Console (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. Microsoft Commercial Marketplace

If you obtain the Service through the Microsoft Commercial Marketplace (Azure Marketplace or AppSource), your use is governed by the Microsoft Standard Contract for the Commercial Marketplace between you and Stratoscope, and Microsoft acts as the merchant of record for billing, invoicing, and refunds. In case of conflict between these Terms and the Microsoft Standard Contract for a Marketplace transaction, the Microsoft Standard Contract controls.

These Terms govern direct purchases through stratoscope.io and any aspects of the Service not addressed by the Microsoft Standard Contract.

3. Description of Service

Stratoscope provides a cloud governance platform that connects to your Microsoft Azure environment, assesses resources against the Azure Well-Architected Framework, and surfaces remediation recommendations. Execution of any mutating remediation requires your explicit approval before it is performed.

4. Accounts and Access

Authentication is handled via Microsoft Entra ID. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify us of any suspected unauthorized access.

5. Acceptable Use

You may not use the Service to:

• Access Azure environments you are not authorized to manage
• Execute automated changes without required human approvals
• Reverse engineer, decompile, or extract proprietary components
• Resell or sublicense access to the Service except as permitted in writing
• Use the Service to violate any law or third-party rights
• Interfere with or disrupt the integrity or performance of the Service or attempt to gain unauthorized access to any part of it

6. Data and Privacy

Stratoscope reads Azure resource metadata and assessment data necessary to operate the governance loop. We do not read application data, secrets, or storage contents. See our Privacy Policy for full details. You retain all rights in your data; you grant us a limited license to process it solely to provide and improve the Service.

7. Billing (direct subscriptions)

For direct subscriptions purchased through stratoscope.io, paid plans are billed monthly via Stripe. Trials are 14 days with no credit card required. Subscriptions renew automatically until cancelled from your account settings. Refunds for direct subscriptions are handled case-by-case; contact engineering@stratoscope.io. Billing for Marketplace transactions is governed by the Microsoft Standard Contract (Section 2).

8. Service availability

The Service is provided on a commercially-reasonable-efforts basis. We do not offer a contractual uptime SLA at Starter or Professional tiers. Enterprise customers may negotiate a written SLA as part of an order form. Planned maintenance will be announced in advance where practical.

9. Warranties and disclaimers

EXCEPT AS EXPRESSLY STATED IN A WRITTEN AGREEMENT SIGNED BY STRATOSCOPE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATOSCOPE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STRATOSCOPE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) US$100. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, EVEN IF ADVISED OF THE POSSIBILITY.

All mutating operations require your explicit approval before execution. You bear full responsibility for operations you approve.

11. Indemnification

You will defend, indemnify, and hold harmless Stratoscope and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service in violation of these Terms or applicable law.

12. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts owed, or use the Service in a manner that creates risk to other customers or to the Service. You may cancel at any time from your account settings. On termination, we will delete your data per the retention schedule in the Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Travis County, Texas, and each party consents to personal jurisdiction there.

Either party may elect to resolve disputes through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The parties waive any right to participate in a class action or class-wide arbitration. This arbitration provision does not apply to claims for injunctive relief to protect intellectual property or to small-claims-court actions.

14. Changes to these Terms

We may update these Terms. Material changes will be communicated by email to account administrators at least 30 days before they take effect, and the version date at the top of this page will be updated. Continued use of the Service after changes take effect constitutes acceptance.

15. Miscellaneous

These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between the parties regarding the Service. If any provision is held unenforceable, the remainder will remain in effect. Failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign in connection with a merger, acquisition, or sale of assets.
